Payment Terms and Conditions

"The Client" agrees to pay:

  • 50% non-refundable deposit of the quoted amount to commence the design project.

  • 50% is due on the day of Delivery, Sign Off or Live Date.

The project deposit is non-refundable, and if a project is cancelled by "the client", for whatever reason, the deposit will serve as a cancellation fee, along with a prorata payment based upon the time spent if it exceeds 50% of the quoted work.

In the case of a change of mind by "The Client" this deposit is non-refundable. Emma Barrett Creative endeavours to provide graphic design services that meet and exceed a client's needs and expectations, but in the even of a "change of mind" by "The Client", the initial 50% deposit is forfeited and acts as a cancellation fee, plus a prorata payment based upon the time spent. The deposit is to ensure Emma Barrett Creative allocates time in the schedule to create work for "the client".

The client understands that the final logo design belongs to Emma Barrett Creative until paid in full. In the event of termination of this Agreement, Emma Barrett Creative owns the logo and has the right to complete, exhibit, and/or sell the logo design (not including business name). Furthermore, Emma Barrett Creative owns all the logo design concepts created before the final logo design.

The client understands that once the final invoice is paid in full, the client has the right to use the logo design in all media useful for business promotion and that Emma Barrett Creative reserves the right to display the logo for business promotional use.

Further revisions will incur additional costs at Emma Barrett Creative’s current hourly rate

  • Additional design collateral – $100/hr

  • Typesetting – $70/hr

  • Print management - $40/hr

Time within packages are limited and if additional refinements are required they will be charged as above. Should extra services be required these will be advised prior to commencement.

Cancellation

If a project is cancelled by "the client", for whatever reason, the deposit will serve as a cancellation fee, along with a prorata payment based upon the time spent if it exceeds 50% of the quoted work.

  • All materials delivered to the client to date in connection with that specific project must be returned

  • Use of work done in connection with the project without Emma Barrett Creative’s consent could result in additional fees or legal action

  • Emma Barrett Creative keep all original artwork and digital files prepared in connection with the project

In the case of a change of mind by "The Client" this deposit is non-refundable. Projects that are canceled at least 30 days prior to the start date may be rescheduled at the end of our queue. Cancellations made less than 30 days from the project start date result in full loss of deposit and may be rescheduled only with payment of another deposit.

Refunds

Due to the custom nature of our work, Emma Barrett Creative does not issue refunds for any reason. Please note our cancellation policy (above) for information about canceling your project.

Delays and Termination

All payments received are not refundable in the event the project or the relationship is terminated for any reason. If any part of the work for this project is delayed for longer than 30 days, Emma Barrett Creative will bill for work completed.

Consequences of Non-Payment

Emma Barrett Creative reserves the right to suspend work and/or withhold issuing any project documents if invoice payments are not received within a reasonable period of time from invoice date.

Client Responsibilities

Client Representative

The Client’s representative, has full authority to provide and obtain all necessary information and approvals throughout this project. Emma Barrett and the Clients Representative represent that they have full power and authority to enter into this agreement and that it is binding upon Emma Barrett Creative and the Client and enforceable in accordance with its terms.

Client Responsibilities

The Client and/or Client’s subcontractors will provide accurate, complete and timely information and materials to Emma Barrett Creative. The Client guarantees that they have all the necessary rights and ownership in such materials to permit Emma Barrett Creative to use them for the project.

Client Approvals

The Client will approve and proofread all final designs, type, press proofs and test sites. Emma Barrett Creative will make all efforts to ensure that no information is misrepresented. However, the Client assumes all responsibility for content. The Client’s approval of all tangible materials and artwork will be assumed after the work has been submitted to the Client for review, unless the Client indicates otherwise in writing.

Client Changes

In order to avoid errors, text changes and corrections will not be taken over the telephone and must be provided electronically. Any text with extensive changes must also be provided as marked up hard copy, indicating the revised text.

General

Deliverables

Upon final invoice being transferred, Emma Barrett Creative will provide all print-ready files (PDF), logo files (EPS and PNG), brand guidelines (PDF) to a Dropbox.

WORK HOURS/DAYS

This agreement assumes work will be completed within the standard work week (Monday through Friday, 9am to 6pm). Emma Barrett Creative is closed on all major holidays and the entire week of Christmas and New Years.

Samples

Emma Barrett Creative can use samples or photographs of the work created under this agreement for publications, exhibition, competition and other promotional purposes (such as our website) once the project has been made public.

Ownership

You, the client, have ownership of the final logo design for use in any media application that is beneficial to your business. Emma Barrett Creative retains the right to use the final logo, or any versions of the logo created in the process, within printed and on-line portfolios, including promotional materials such as newsletters and advertisements. The client also gives Emma Barrett Creative permission to use client’s full name, business address, and/or website address, for testimonial purposes on her website, or other business related media. The client understands that it is the client’s responsibility to copyright the logo design and/or seek trademark.

Credit

The following credit will be mentioned on all publicity/promotion of this project and/or our relationship, including, but not limited to, awards, competitions, press releases, etc.: (i.e., Design: Emma Barrett Creative).

SCHEDULE

The work outlined in this agreement will be turned around within a reasonable, non-rush schedule to be determined, where possible, and mutually agreed upon at the start of each project. Late or weekend hours incurred to accommodate additional compressed deadlines, if needed, will be negotiated separately. Our schedules assume timely review and response by Emma Barrett Creative of all deliverables.

Electronic Files

Length of Storage

Emma Barrett Creative agrees to store all final electronic files created for a maximum of two years.

Retrieval Fee

Emma Barrett Creative will charge $50 to retrieve/transfer any elements of our electronic files from archive at the request of the client, providing related usage rights have been negotiated.

File Requirements

If specific requirements for how project files must be prepared, the Client must communicate this, in writing, to Emma Barrett Creative before the project begins.
